Terms & Conditions
These Terms and Conditions ("Terms") govern your access to and use of the AI-powered chatbot platform LeezyAI available at leezy.ai (the "Service") provided by hypescale GmbH ("hypescale", "we", "us", "our"). By using the Service, you agree to these Terms. If you use the Service on behalf of a company or other entity, you represent that you are authorized to bind that entity.
1 §1. Introduction & Definitions
The Service is an AI-powered chatbot platform that lets organizations deploy conversational assistants across channels and connect them to data sources and tools.
- Service: the LeezyAI SaaS platform, APIs, and related services.
- Organization: a multi-tenant workspace representing a company or team; multiple Users can belong to one Organization.
- Chatbot: a configured conversational agent deployed by an Organization.
- User: an individual account with credentials issued under an Organization.
- Content: training documents, data, prompts, end-user messages, and other material you or your end users provide.
- AI Actions: automated tool calls initiated by a Chatbot (e.g., contact collection, ticket creation, CRM/database updates).
- Message: a single inbound or outbound chat message exchanged through the Service.
2 §2. Account Terms
- Registration requires accurate, current information and a valid email address. Business Users must be at least 18 years old and authorized to act for their Organization.
- Each account is tied to an Organization. Organization owners/admins control User invites, roles, and data visibility.
- You are responsible for safeguarding credentials, enabling appropriate security controls (e.g., SSO where available), and promptly notifying us of any unauthorized access.
- Account usage must comply with applicable law and these Terms; we may refuse or revoke accounts for misuse.
3 §3. Free Tier & Subscriptions
LeezyAI offers a Free Tier and paid subscriptions (Starter, Pro, Business).
- Free Tier: 100 Messages per Organization per rolling 30-day period; 15 AI Actions per rolling 30-day period; no credit card required; quotas automatically reset at the end of each rolling period.
- Paid plans: Higher Message and AI Actions limits as described at purchase; plan inclusions may vary by tier.
- Billing: Subscriptions are billed in advance on monthly or annual cycles via Stripe; applicable taxes/VAT are added where required.
- Auto-renewal: Subscriptions renew automatically unless cancelled before the current billing period ends.
- Cancellation: You may cancel anytime; access continues until the paid period ends, after which the account reverts to the Free Tier. We do not charge overages.
- Payment failure: If payment cannot be processed, we may suspend paid features until payment is restored.
4 §4. Usage Limits & Quotas
- Message quotas apply per Organization and are defined by the active plan (Free Tier limits above; paid limits per plan).
- AI Actions quotas apply per Organization for tool executions triggered by Chatbots.
- Quota resets: Free Tier on a rolling 30-day basis; paid plans at the start of each billing cycle.
- Soft enforcement: When a quota is reached, new Messages or AI Actions may be paused until the next reset; we do not bill overages by default.
5 §5. AI Service Terms
- AI-generated outputs can be inaccurate, incomplete, or inappropriate. They are provided for assistive purposes only and are not professional advice.
- You are responsible for reviewing and validating AI outputs before relying on them or sharing them with end users.
- Prohibited AI uses include generating illegal, harmful, deceptive, discriminatory, or impersonating content; violating intellectual property; or automating unlawful activities.
- Your Content is used to train and run Chatbots for your Organization only; we do not train models across Organizations, except for aggregated, de-identified analytics to improve the Service.
6 §6. Acceptable Use Policy
- No content that is illegal, harmful, violent, discriminatory, sexually explicit, or spam.
- No attempts to circumvent quotas, rate limits, or authentication.
- No reverse engineering, decompiling, or probing the Service or underlying models, except where permitted by mandatory law.
- No unauthorized access, vulnerability scanning, or disruption of the Service or third-party systems.
- No uploading malware or using the Service to distribute malicious code.
7 §7. Content & Intellectual Property
- You retain ownership of Content (including training documents and end-user data) you or your end users provide.
- You grant hypescale a worldwide, non-exclusive, royalty-free license to host, store, embed, vectorize, and process Content as needed to operate and improve the Service for your Organization.
- Chatbot configurations (intents, flows, prompt settings) belong to your Organization; you grant us a license to use them to provide the Service.
- LeezyAI, underlying software, interfaces, and branding are owned by hypescale and its licensors. No rights are granted beyond what is necessary to use the Service.
- Feedback you submit may be used to improve the Service without restriction or obligation.
8 §8. Data Processing & Privacy
- We process personal data in accordance with GDPR. The Privacy Policy and, where applicable, a Data Processing Agreement (DPA) form part of these Terms.
- Primary data hosting is in the EU (currently Supabase). Key subprocessors include OpenAI (AI model inference) and Stripe (payments). We apply appropriate data protection safeguards for any onward transfers.
- You are the controller for end-user data ingested into your Organization; hypescale acts as processor for that data.
- Do not upload special category data unless appropriate legal bases and safeguards are in place.
9 §9. Service Availability
- The Service is provided on a best-effort basis. No uptime SLA applies to the Free Tier.
- We may perform maintenance or make changes; we will try to schedule planned downtime with notice where feasible.
- Features may be modified, temporarily disabled, or discontinued; material adverse changes will follow the notice process in §13.
10 §10. Termination
- You may cancel at any time; cancellation takes effect at the end of the current billing period (or immediately for Free Tier).
- We may suspend or terminate access for breach of these Terms, legal requirements, or to protect the Service and its users.
- Upon termination, access ceases and paid features end; we may retain logs or limited data as required by law or for legitimate business purposes, after which it will be deleted or anonymized.
- Export your data before termination; post-termination export may be limited.
11 §11. Limitation of Liability
- We exclude liability for indirect, incidental, consequential, exemplary, or punitive damages, and for loss of profits, revenue, data, or goodwill.
- Our aggregate liability arising out of or related to the Service is capped at the fees you paid for the Service in the twelve (12) months preceding the event giving rise to the claim. This cap does not apply where prohibited by law or in cases of willful misconduct or gross negligence.
- We are not liable for actions or outputs of AI models or third-party services integrated by you.
12 §12. Governing Law
- These Terms are governed by German law, without regard to conflict-of-law rules.
- Courts in Germany have exclusive jurisdiction, except where mandatory EU consumer protection rules grant additional rights to consumers.
13 §13. Changes to Terms
- Material changes will be communicated at least 30 days in advance via email and/or in-product notice. Changes required by law or for security may take effect sooner.
- Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
